近日，中国上市公司协会开展的“上市公司董办最佳实践案例征集活动”结果揭晓，珀莱雅化妆品股份有限公司荣获“2024年度上市公司董办优秀实践案例”，凭借优异的表现，公司已连续两年获此荣誉。
Recently, the China Association for Public Companies (CAPCO) announced the results of the “Collection Activity for Best Practices of the Office of the Board of Directors among Listed Companies”. Proya Cosmetics Co., Ltd. was awarded the “2024 Outstanding Practice of the Office of the Board of Directors among Listed Companies”. By virtue of our excellent performance, the Company has won this honor for two consecutive years.
“上市公司董办最佳实践”案例征集活动是中国上市公司协会对上市公司董事会办公室履职情况进行评价，评价体系涵盖了上市公司董办工作所涉及的信息披露管理事务、公司治理机制建设、投资者关系管理事务、相关制度的制定和修订、监督培训等指标。此活动经初审、专家委员会评审、诚信核查等环节，最终评出最佳实践案例280家，优秀实践案例300家，其中，入选“董办优秀实践案例”的300家上市公司中，沪市上市公司150家，占50%；深市上市公司146家，占48.7%；北交所上市公司4家。
The CAPCO organized this “Collection Activity for Best Practices of the Office of the Board of Directors among Listed Companies” to evaluate the performance of the Office of the Board of Directors of listed companies. The evaluation system covered indicators of information disclosure management affairs, corporate governance mechanism construction, investor relations management affairs, formulation and revision of relevant policies, as well as supervision and training involved in the work of the Office of the Board of Directors. The activity went through initial review, expert committee evaluation, integrity checks, and other processes. In the end, 280 companies were selected as Best Practices while 300 companies were selected as Outstanding Practices. Among the outstanding 300 companies, 150 companies are listed on the Shanghai Stock Exchange (SSE), accounting for 50% of the total; 146 companies are listed on the Shenzhen Stock Exchange, accounting for 48.7%; and four companies are listed on the Beijing Stock Exchange.
信息披露是上市公司与投资者沟通的重要桥梁，我们高度重视信息披露工作，严格履行信息披露义务，保障信息披露内容的真实、准确、完整、及时、公平。在上海证券交易所发布的沪市上市公司2023-2024年度信息披露工作评价中，经综合考评，公司2023-2024年度信息披露工作评价结果为A（珀莱雅荣获沪市主板上市公司信息披露A级评价）。在本次案例征集活动评价期内（2023年9月1日-2024年8月31日），珀莱雅发布了4份定期报告，上百份临时公告，有效保障了信息披露的有效性与一致性。为进一步加强投资者对公司信息的了解，公司通过“一图速览”长图、“视频解读”、PPT图文等可视化的形式呈现公司的业务数据及经营亮点，有效提高了信息披露内容的可读性。
Information disclosure serves as an important bridge for communication between listed companies and investors. We attach great importance on information disclosure, and strictly fulfill our disclosure obligations to ensure that the information disclosed is truthful, accurate, complete, timely, and fair. In the evaluation results of information disclosure targeted listed companies in Shanghai for 2023-2024 released by the SSE, Proya received an A rating after a comprehensive assessment (Proya was Awarded an A-level Rating for Information Disclosure among Companies Listed on the SSE Main Board). During the evaluation period (i.e. September 1, 2023 - August 31, 2024) of this case collection activity, Proya released four regular reports and over one hundred interim announcements, effectively ensuring the validity and consistency of the information we disclosed. To make investors better understand the Company’s information, we presented our business data and operational highlights through visual formats such as one-image overview, video interpretations, and PPT graphics, significantly improving the readability of the information.

Over the years, the Company has focused on investor needs in its investor relations management. The Company regularly holds performance briefings, utilizes the SSE E-interactive platform, investor hotline, and investor relations email to promptly understand investor needs and feedback. In addition, Proya has launched the WeChat official account and mini program of investor relations, on which operation-related information is disclosed. This launch has further expanded our communication channels with investors, contributing to the establishment of an efficient and smooth communication system. At the same time, the Company highly values investor returns. We have formulated the 2024 Action Plan for “Improving Quality and Efficiency to Increase Returns”, which aims to increase investor returns and improve their sense of gain through share repurchase, sustained dividend distribution, and other measures.

With comprehensive ESG management as the foundation, the Company has reinforced the ESG management system, and has established an ESG organizational structure that spans the entire company.
